Terms of Service
Effective date: 1 June 2026
Please read these terms carefully before using our services. They define the relationship between you and Logistructure and outline both parties' rights and obligations.
Acceptance of Terms
By accessing our website or engaging Logistructure for managed IT services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms apply to all clients, visitors, and users of our services and website.
Description of Services
Logistructure provides managed IT services including but not limited to Microsoft Intune device management, endpoint security, help desk support, and IT consulting. The specific scope of services for each client is defined in a separate Service Agreement or Statement of Work signed by both parties.
Service Agreements
All managed service engagements are governed by a written Service Agreement. The Service Agreement takes precedence over these general Terms of Service in the event of any conflict. Services commence only after a signed agreement and receipt of any applicable onboarding fee.
Client Responsibilities
Clients are responsible for providing accurate information necessary for service delivery; maintaining administrative access to systems where required; notifying Logistructure promptly of any security incidents or changes that may affect the services; and ensuring that their use of our services complies with all applicable laws and regulations.
Payment Terms
Fees for services are outlined in the applicable Service Agreement. Invoices are due within 15 days of issuance unless otherwise agreed in writing. Late payments may be subject to a 2% monthly interest charge. Logistructure reserves the right to suspend services for accounts more than 30 days overdue, with written notice.
Intellectual Property
All content on our website — including text, graphics, logos, and software — is the property of Logistructure and is protected by applicable intellectual property laws. Custom configurations, scripts, or tools developed specifically for a client during an engagement remain the intellectual property of Logistructure unless expressly agreed otherwise in writing.
Confidentiality
Both parties agree to keep confidential any proprietary information disclosed during the course of the engagement. This obligation survives the termination of any service agreement for a period of three years. Confidential information does not include information that is publicly available or independently developed by either party.
Limitation of Liability
To the fullest extent permitted by law, Logistructure shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, even if we have been advised of the possibility of such damages. Our total liability in connection with any claim shall not exceed the fees paid by you in the three months preceding the claim.
Termination
Either party may terminate a service engagement in accordance with the notice period specified in the applicable Service Agreement. Upon termination, all outstanding fees become immediately due. Logistructure will assist with a reasonable transition period to ensure continuity for the client.
Governing Law
These Terms of Service are governed by the laws of the Kingdom of Saudi Arabia. Any disputes arising from these terms or from our services shall be subject to the exclusive jurisdiction of the courts of Saudi Arabia. We are committed to resolving disputes amicably before pursuing formal legal proceedings.
Changes to These Terms
We may update these Terms of Service at any time. Material changes will be communicated to active clients via email at least 14 days before taking effect. Continued use of our services after the effective date constitutes acceptance of the revised terms.
